TERMS AND CONDITIONS OF SALE – REMITRUST PRO SERVICES

Effective For: All sales of bulk Magnesium Chloride Ice Melting Pellets (the “Product”) sold by Remitrust Pro Services (“Seller”) to the Purchaser (“Buyer”).
1. PRODUCT & ORDER SPECIFICATIONS
- Product: Premium Magnesium Chloride Ice Melting Pellets or Flakes.
- Packaging: 50 lb. bags, stacked 48 bags per pallet.
- Minimum Order Quantity: 1 pallet (48 bags).
- All orders are subject to written acceptance and availability from Seller.
2. PRICING & FEES
- Prices are quoted in Canadian Dollars (CAD) and are valid until June 30, 2026, unless otherwise stated in writing.
- Price per pallet: $1,584.00 CAD (MSRP $35.99 per bag).
- Price does not include applicable taxes (HST), shipping, handling, or freight charges.
- Freight charges are calculated based on the delivery location within the Greater Toronto Area (GTA) and will be provided as a custom quote prior to order confirmation.
- Prices are subject to change without notice after the validity period or in the event of significant market fluctuations.
3. PAYMENT TERMS
- For approved credit accounts: Net 15 days from the date of invoice.
- New customers or accounts not on approved credit: Payment in advance is required prior to shipment.
- Late payments are subject to interest charges of 1.5% per month (18% per annum) on overdue balances.
- Seller reserves the right to withhold shipment or future orders if payment is not received in accordance with these terms.
4. DELIVERY & SHIPPING
- Delivery is available within the Greater Toronto Area (GTA).
- Delivery options:
- Dock-to-dock delivery (requires loading dock and forklift on-site).
- Tailgate delivery (curbside drop-off; Buyer is responsible for offloading).
- Delivery dates provided are estimates only. Seller is not liable for delays caused by weather, carrier issues, or other unforeseen circumstances.
- Buyer is responsible for:
- Providing safe and accessible delivery points.
- Offloading in the case of tailgate delivery.
- Inspection of goods upon delivery and noting any visible damage on the carrier’s delivery receipt.
5. RISK & TITLE
- Risk of loss or damage passes to Buyer upon delivery to the carrier or at the point of receipt.
- Title to the Product remains with Seller until full payment is received.
6. RETURNS & CANCELLATIONS
- Due to the nature of bulk chemical products, all sales are final. Returns are not accepted unless the Product is proven defective upon delivery.
- Orders may be cancelled only with written consent from Seller and may be subject to a cancellation fee.
- Defective or damaged claims must be reported within 24 hours of delivery with photographic evidence.
7. PRODUCT USE & DISCLAIMER
- The Product is intended for commercial and industrial ice melting purposes only.
- Buyer is responsible for:
- Proper storage in a cool, dry place.
- Safe handling and application in accordance with all applicable federal, provincial, and local regulations.
- Reading and complying with all safety data sheets (SDS) provided by Seller.
- Seller makes no warranties, express or implied, regarding merchantability or fitness for a particular purpose beyond the Product’s described specifications. Seller is not liable for misuse, improper storage, or application of the Product.
8. LIMITATION OF LIABILITY
- Seller’s total liability for any claim related to the sale, delivery, or use of the Product shall be limited to the purchase price paid for the specific pallet(s) in question.
- Seller shall not be liable for any indirect, incidental, or consequential damages, including lost profits, property damage, or personal injury arising from the use or inability to use the Product.
9. FORCE MAJEURE
- Seller is not liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, labor disputes, supply chain disruptions, or government actions.
10. GOVERNING LAW
- These Terms and Conditions are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
- Any disputes shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.
11. ACCEPTANCE OF TERMS
- Placing an order, whether in writing, by phone, or electronically, constitutes Buyer’s full acceptance of these Terms and Conditions.
- These terms supersede all prior agreements, communications, or understandings between Buyer and Seller regarding the sale of the Product.
